Strike the name off
How is a company with no business and no liabilities closed?
The short answer
Clear every liability, close the charges, and file STK-2 with accounts not older than 30 days. The Registrar publishes the notice. This is not a winding up.
Section 248(2). Not a company with an open charge, an unpaid liability, or a pending prosecution.
VerifiedAct-sourced — Section 248 and the Removal of Names of Companies Rules.
Step by step
1
Clean the company
No unpaid liability, no open charge, no pending prosecution. Close charges with CHG-4 first.
2
Authority
A special resolution, or the consent of seventy-five percent of the members in share capital.
3
STK-2
Indemnity, an affidavit of every director, and a statement of accounts not older than 30 days.
4
Wait
The Registrar publishes the notice. The payment is not the strike-off. A creditor can still ask for restoration.
5
Sign, upload, pay
A director submits the web form at mca.gov.in as a business user. The SRN appears in My Application. Download the PDF, sign it with the DSC already associated to the DIN, DPIN, PAN or membership number on the form, upload that PDF against the same SRN, and pay.
