Become a dormant company
The company is idle. Is strike-off the only option?
The short answer
Section 455. Apply in MSC-1. Dormant is a status, not a closure. An annual return is still filed.
A company formed for a future project, or holding an asset or intellectual property, with no significant accounting transaction. Not an LLP.
VerifiedAct-sourced — Section 455.
Step by step
1
Qualify
No significant accounting transaction, as section 455 defines it. Being late on filings is not the definition.
2
Special resolution
The members apply for the status.
3
MSC-1
The web form. Dormant is a status, not a closure. A thinner annual return is still filed.
4
Sign, upload, pay
A director submits the web form at mca.gov.in as a business user. The SRN appears in My Application. Download the PDF, sign it with the DSC already associated to the DIN, DPIN, PAN or membership number on the form, upload that PDF against the same SRN, and pay.
