Commence business

The certificate is out. Can it start business?

Private, public, OPC, or a section 8 company that actually has a share capital.

The short answer

A company with a share capital files INC-20A within 180 days. A company with no share capital does not. An LLP does not.

Depends on the vehicle. Open the tab before filing INC-20A.

VerifiedAct-sourced — Section 10A.

Step by step

  1. 1

    Bank the subscription

Every subscriber pays for the shares taken. A line in the memorandum is not enough.

  2. 2

    INC-20A

Within 180 days of incorporation. Attach the bank evidence the form asks for.

  3. 3

    Sign, upload, pay

A director submits the web form at mca.gov.in as a business user. The SRN appears in My Application. Download the PDF, sign it with the DSC already associated to the DIN, DPIN, PAN or membership number on the form, upload that PDF against the same SRN, and pay.

Forms

  • INC-20A — Only where section 10A applies.

Papers

  • Bank evidence of subscription money

Where this filing fails

  • Starting to invoice does not cure a missed INC-20A. The Registrar can move to remove the name.
