The short answer

Two members and two directors. The name ends with Private Limited. SPICe+ does the name, the memorandum, the articles, the office, and the linked tax and bank forms.

Step by step

    Signatures first

    Each subscriber and each director needs a DSC. Each person who will sign is a business user, and the DSC is associated under MCA Services, then FO Services, then Associate DSC.

    SPICe+ Part A

    Reserve a name that ends with Private Limited. Wait for the approval. The reservation lasts only for the period printed on it.

    Part B

    From the mini dashboard, open Part B. Two subscribers, two directors, the registered office, eMOA (INC-33), eAOA (INC-34), AGILE-PRO-S and DIR-2.

    Linked forms, then the clock

    File the linked forms with Part B. MCA’s SPICe+ FAQ of 22 January 2023 gives 15 days from the SRN to upload the signed PDFs and 7 days from that upload to pay. Those two limits are for SPICe+, not for every later form.

    Sign, upload, pay

    The subscribers and directors submits the web form at mca.gov.in as a business user. The SRN appears in My Application. Download the PDF, sign it with the DSC already associated to the DIN, DPIN, PAN or membership number on the form, upload that PDF against the same SRN, and pay.

    Certificate

    The certificate states the CIN. If the company has share capital, INC-20A is the next filing, within 180 days, before business starts.

Where this filing fails

  • Stamp duty on the memorandum is a State levy. It is not in the MCA fee table.
  • Being a small company is a later test under section 2(85). It is not a box on SPICe+.
