Shift the registered office
Does Bengaluru do this differently from Maharashtra, or a section 8 company differently from an LLP?
Private, public, OPC and section 8. Pick how far the office moves.
The short answer
A company, including a public company and a section 8 company, uses section 12. The route depends on how far the office moves, not on the city you start in. An LLP uses Form 15 and never uses INC-22.
The registered office. A plant, a branch, or a director’s house can move without any of these forms.
VerifiedAct-sourced — Sections 12 and 13(4). Rules 28 and 30 for the two Regional Director applications.
Inside the local limits. A board resolution and INC-22. Bengaluru to another address in Bengaluru. Mumbai to another address that stays with the same Mumbai Registrar.
Step by step
1
Board only
A move inside the same city, town or village needs a board resolution. No special resolution.
2
INC-22
Within 30 days. Attach the office proof and the owner’s no-objection. The office must be able to receive letters.
3
Sign, upload, pay
A director submits the web form at mca.gov.in as a business user. The SRN appears in My Application. Download the PDF, sign it with the DSC already associated to the DIN, DPIN, PAN or membership number on the form, upload that PDF against the same SRN, and pay.
Forms
Papers
- Office proof and no-objection
- Utility bill as the kit specifies
- Special resolution, where the route needs one
- Regional Director’s order, where the route needs one
Where this filing fails
- Stamp duty on INC-22 follows the State of the new office.
- A section 8 licence does not add a fifth route. What needs Central Government approval for a section 8 company is a change to its memorandum or articles, not the pin code by itself.
